They need the permission of the owner of 3.1 to sell OS4. It is like making a graphic novel version of a book. The pictures are all yours, but if the owner of the original book changed his mind and withdrew permission for the adaptation, you might be prevented from publishing your graphic version.
All this depends on the agreement reached by the parts, and its clauses: they can be very restrictive, or very open, or very specific, etc. In Hyperions's case, if Amiga granted full rights over OS4 and the use of Amiga trademarks to Hyperion if Amiga goes bust, well, I see no reason why it should not be accomplished.
